About the Role:

We are seeking a corporate attorney with broad experience, including public company representation, corporate governance, M&A and international subsidiary support.  In this role, you will be the second attorney in the Corporate Legal function, and will have both a meaningful role in a growing legal department and an opportunity to develop professionally with the support of a collaborative and experienced team. This role reports directly to the Deputy General Counsel, Corporate.

About the Role:

  • Support corporate governance matters, including preparing materials for Board and committee meetings, developing the proxy statement, and reviewing policies and charters
  • Support legal aspects of SEC filings in close collaboration with the Finance team
  • Support M&A activities, including transaction execution, integration, and M&A legal program development
  • Partner on domestic and international subsidiary matters, including statutory audits and compliance, international expansion, and working closely with the international corporate paralegal
  • Partner on legal aspects of executive compensation and equity program matters with cross-functional business partners
  • Assist in administering the insider trading policy, external communications policy, 10b5-1 plans, director compensation policy, and other corporate policies and programs
  • Stay current on SEC rule making, corporate governance best practices, and disclosure trends
  • Develop and implement processes and playbooks to enable continued scale within the Corporate Legal function
  • Evolve with the needs of the Corporate Legal function as Confluent grows and matures

About You:

  • Minimum 5+ years’ experience as a corporate attorney, preferably as in-house counsel for high-growth public technology companies
  • Active membership in good standing in at least one state bar
  • J.D. from a top-tier law school
  • Excellent legal and business judgment with the ability to assess and communicate risks to senior business partners in a clear and actionable way
  • Ability to work independently on projects with minimal supervision, and manage multiple projects/meet deadlines within budget and with consistently high-quality work product
  • Strong written and oral communication skills, including the ability to explain concepts clearly and actionably to senior leaders
  • High level of integrity, team orientation, and treating others with respectGrowth mindset, positive attitude, resilience, and ability to thrive in a high-growth, fast-paced environment
  • A desire to work with others who are also smart, humble and empathetic, and who enjoy working as one team to get things done!
